Vendor Terms

1. Introduction Welcome to ChatSkills, operated by Excel Skills Academy ("we", "our", or "us"). These Vendor Terms and Conditions ("Terms") govern your participation as a vendor, partner, or service provider ("you", "your") on our platform hosted at https://whatsapp.comskills.in . By registering or providing services on our platform, you agree to comply with and be legally bound by these Terms. If you do not agree, you may not use or access the vendor features of our platform. 2. Vendor Eligibility To become a vendor on ChatSkills, you must: Be at least 18 years old or legally eligible to enter binding agreements. Provide accurate business and contact information. Comply with all applicable local, national, and international laws. Hold any licenses or approvals required for your services. We reserve the right to approve, reject, or remove any vendor at our sole discretion. 3. Vendor Obligations Vendors must: Ensure all services, courses, or products provided are lawful, original, and of acceptable quality. Not share or sell misleading, harmful, or offensive content. Maintain confidentiality of user data and comply with GDPR and data privacy laws. Refrain from spamming, misrepresentation, or unauthorized advertising. Honor all commitments, delivery timelines, and refund obligations to users. 4. Platform Usage Vendors are granted limited, non-exclusive access to the platform for listing and managing their offerings. Vendors may not copy, distribute, reverse-engineer, or misuse the ChatSkills platform or brand assets. All platform communications (including WhatsApp integrations) must follow Meta’s policies, GDPR, and anti-spam guidelines. 5. Payments and Fees Platform commissions or fees (if applicable) will be defined in separate vendor agreements or communications. Payments will be processed securely via approved payment gateways. Vendors are responsible for all taxes, duties, and reporting obligations related to their earnings. 6. Intellectual Property Vendors retain ownership of their original content, training materials, or digital products. By listing content on ChatSkills, you grant us a non-exclusive, worldwide license to use, display, and promote your content for platform-related purposes. ChatSkills trademarks, logos, and brand materials remain the exclusive property of Excel Skills Academy. 7. Confidentiality Any business, financial, or user information accessed during your partnership must remain confidential and not be disclosed to third parties without prior written consent. 8. Data Protection and Privacy Vendors must handle all user data in accordance with GDPR and applicable privacy laws. No user data collected via ChatSkills or WhatsApp onboarding may be stored, transferred, or used outside agreed purposes. Vendors must promptly report any data breaches to help@excelskillsacademy.in . 9. Termination We may suspend or terminate your vendor account immediately if: You breach these Terms or applicable laws. You engage in fraud, spam, or harmful behavior. Your actions damage the reputation or functionality of ChatSkills. Upon termination, all access rights are revoked, and outstanding obligations (payments, deliveries, refunds) must be completed. 10. Limitation of Liability ChatSkills and Excel Skills Academy are not liable for: Any indirect, incidental, or consequential damages. Losses arising from user disputes, technical failures, or third-party integrations. Content accuracy, performance, or reliability of vendor services. 11. Indemnification You agree to indemnify and hold harmless ChatSkills, Excel Skills Academy, and their representatives from any claims, damages, or losses arising from your use of the platform, violation of these Terms, or breach of law. 12. Modifications We reserve the right to update or modify these Terms at any time. Changes will be posted on this page with an updated “Effective Date.” Continued use of the platform after changes constitutes acceptance of the revised Terms. 13. Governing Law These Terms are governed by and construed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Kolkata, West Bengal. 14.
